This is a translation of the General Sales Terms (Condiciones Generales de Venta) and only serves to inform. This translation shall never be used in case of a dispute or disagreement. Only the original text in Spanish can be used for these purposes. The present general sales terms (G.S.T.) shall apply in any sales or delivery contract between RAMIRO ARNEDO S.A. (seller) and the buyer, except that both parties have agreed otherwise in writing. The fact of placing an order implies the acceptance of the G.S.T. despite otherwise stipulated and indicated in the printed general terms of purchase or in any other commercial document of the buyer.
Our guarantees include the limits indicated in the Technical Regulations of Control and Certification of Seeds and Seedlings, dated 23/05/1986 (BOE of June 6, 1986). The implementation by the purchaser or by a third party of any operation of conditioning, treatment, grafting or any other manipulation prior to the sowing of the goods sold, which has not been expressly authorized in writing by RAMIRO ARNEDO S.A., disclaims all warranties with regard to the quality and characteristics of such goods.
The prices of this list do not include VAT. Minimum order quantity is 40 Euros. Customers requesting goods for the first time, shall indicate their VAT-number and IBAN-Code. If not doing so, the goods will be sent COD. Late maturity payments shall bear interest rates of 0.75% per month; being all the financial and banking expenses produced by the delay borne by the customer.
The offer is subject to variation or availability. No claims will be accepted for the impossibility of serving all or part of an order due to unavailability. All shipping costs shall be borne by the customer; this does not apply for bulky seeds (grass, fodder, broad beans...). Orders will travel by account and risk of the buyer, disclaiming any liability for damage, failure or delay attributable to the carrier.
The buyer is expressly warned of the existence of intellectual property rights arising from the protection of plant varieties of all or some of the goods sold, whose violation can result in serious legal responsibilities, even penal pursuant to Article 274 of the existing Penal Code. Such goods are to be used exclusively according to their destination for the production and final product (fruits, flowers or plants), being strictly forbidden to use for other purposes, and particularly for the reproduction or multiplication by any means, without written permission from RAMIRO ARNEDO S.A. The violation of intellectual property rights may give rise to the exercise, by RAMIRO ARNEDO S.A. directly or through a representative, of civil or penal legal actions in the Court of Law. To the sole purpose of verifying the respect for their rights of intellectual property of the goods sold, RAMIRO ARNEDO S.A. reserves the right to make, any time, themselves or through a representative, the necessary controls, including inspection in the fields, greenhouses and facilities of the buyer. Buyer expressly accepts such power of control and undertakes to facilitate its practice. ADVICE RAMIRO ARNEDO S.A. does not assume any responsibility on the provided advice or for the results obtained from the advice, on the understanding that such advice is provided and accepted for account and risk of the buyer. Buyer will be responsible for its own tests and inspections before applying the advice received. CLAIMS Any claim about orders must be made within eight days of receipt of the goods. After this period the buyer automatically gives his conformity to the goods received. Claims concerning the authenticity and purity of the variety shall be made as soon as possible and once the crop has reached a development stage such that both parties can evaluate it. All orders made by our customers, imply the acceptance of these terms and conditions and in case of dispute, they renounce their own jurisdiction, subject to the jurisdiction of the Courts of Calahorra.
As stipulated in the Organic Law 15/1999 of December 13, of Protection of Personal Data and concordant and complementary provisions, it is noted that the buyer accepts his data to be included into the automated files of the seller, for confidential and exclusive use in administrative and commercial management and that at any time the buyer can exercise his rights of access, amendment and objection, by writing to our headquarters in Calahorra. Differing degrees of specificity exist in host-pest/pathogen relations. Identification of such specificity generally requires the use of highly processed analytical methods. Detecting whether a plant is subject to a pest/pathogen or not may depend on the analytical method employed. It is important, in general, to stress that the specificity of pests/pathogens may vary over time and space, depends on environmental factors, and that new pest biotypes or pathogen races capable of overcoming resistance may emerge.
Immunity: not subject to attack or infection by a specified pest/pathogen. Resistance: the ability of a plant variety to restrict the growth and development of a specified pest/pathogen and the damage they cause when compared to susceptible plant varieties under similar environmental conditions and pest/pathogen pressure. Resistant varieties may exhibit some disease symptoms or damage under heavy pest/pathogen pressure. Two levels of resistance are defined: High Resistance (HR): plant varieties that highly restrict the growth and development of the specified pest/pathogen under normal disease or pest/pathogen pressure when compared to susceptible varieties. These plant varieties may, however, exhibit some disease symptoms or damage under heavy pest/pathogen pressure. Intermediate Resistance (IR): plant varieties that restrict the growth and development of the specified pest/pathogen, but may exhibit a greater range of symptoms or damage compared to highly resistant varieties. Intermediate resistant plant varieties will still show less severe symptoms or damage than susceptible plant varieties when grown under similar environmental conditions and/or pest/pathogen pressure. Susceptibility: the inability of a plant variety to restrict the growth and development of a specified pest/pathogen.
